Terms of Service

These terms govern your use of PropCert, a compliance tracking service for UK landlords available at propcert.io. PropCert is operated by Francesca Darby, a sole trader based in the United Kingdom, trading as PropCert ("PropCert", "we", "us"). By creating an account or using the service, you agree to these terms. If you do not agree, please do not use PropCert.

1. What PropCert does

PropCert helps you record property compliance certificates, receive reminders before they expire, store certificate documents, and share certificates with your tenants while keeping a record that you did so. PropCert is an organisational and reminder tool. It is not legal advice and does not guarantee your compliance with any law or regulation.

2. Your responsibility for compliance

You remain solely responsible for meeting your legal obligations as a landlord, including obtaining valid certificates, renewing them on time, and providing documents to tenants where required by law. PropCert's reminders and records are provided to assist you, but they are a convenience and not a substitute for your own diligence. You should not rely on PropCert as your only means of tracking deadlines. We do not accept responsibility for any missed renewal, expired certificate, fine, penalty, or loss arising from your compliance obligations, including where a reminder is delayed, not delivered, or not received (for example due to email delivery issues, spam filtering, incorrect details, or a service interruption).

3. Accounts

You must provide accurate information when creating your account and keep your login details secure. You are responsible for activity that happens under your account. You must be at least 18 years old to use PropCert.

4. Tenant data and sharing

If you add tenant details or use the certificate-sharing feature, you confirm that you have the right to provide that tenant's information to us and to share certificates with them, and that you will comply with your own data protection obligations towards your tenants. You are the data controller for your tenants' data and PropCert acts as your processor, as described in our Privacy Policy.

5. Plans, payment and free tier

PropCert offers a free tier and a paid subscription ("Pro"). Current features and prices are shown on our pricing page. Paid subscriptions are billed in advance on a recurring basis through our payment provider, Stripe, until cancelled. We may change our prices or features, and will give you reasonable notice of any change that affects your paid subscription.

6. Cancellation and your right to change your mind

You can cancel your Pro subscription at any time through the billing settings in your account. When you cancel, your subscription remains active until the end of the period you have already paid for, and it will not renew after that. Cancelling as easily as you signed up is important to us.

14-day cooling-off period. As a consumer buying online, you normally have the right to cancel within 14 days of subscribing and receive a refund, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Because PropCert is a digital service that begins immediately, when you subscribe you agree that we may start providing the service straight away, and you acknowledge that you will lose the right to a full refund for the part of the service already provided once it has begun. If you cancel within the 14-day period, we will refund you in line with your legal rights, less a proportionate amount for the service already supplied up to the point you tell us you are cancelling.

To exercise your cancellation right, cancel in your account settings or email hello@propcert.io. Nothing in these terms affects your statutory rights as a consumer.

7. Acceptable use

You agree not to misuse the service, including by attempting to access it unlawfully, disrupting it, uploading unlawful or harmful content, or using it to store data you have no right to hold. We may suspend or close accounts that breach these terms.

8. Availability

We work to keep PropCert available and reliable, but we do not guarantee that the service will be uninterrupted or error-free. We may occasionally need to suspend the service for maintenance or updates.

9. Our liability

Nothing in these terms limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, or for fraud. Subject to that, and to your statutory rights as a consumer, we are not liable for losses that were not reasonably foreseeable, for losses arising from your own failure to meet your compliance obligations, or for business losses. Our total liability to you for any claim connected with the service is limited to the amount you paid us for the service in the twelve months before the claim arose.

10. Ending these terms

You may stop using PropCert and close your account at any time. We may end or suspend your access if you seriously or repeatedly breach these terms. On closure, your right to use the service stops, and we handle your data as set out in our Privacy Policy.

11. Changes to these terms

We may update these terms from time to time. If we make significant changes we will update the date above and, where appropriate, notify you. Continuing to use PropCert after a change means you accept the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales. If you live in Scotland or Northern Ireland, you may instead bring proceedings in your local courts, and your local law may apply.
